Partner Participation Terms

These participation terms apply to the invite-only friends4life Partner Program between Friends4Life.club by KERN|flip (“Provider”) and the partner (a natural or legal person).

1. Participation, status

1.1 Participation is only possible after application and activation by the Provider (invite-only).

1.2 Upon activation, the partner receives access to the partner portal, a personal referral code (ref/partner code) and typically a linked discount code.

1.3 The partner acts as an independent business. No employment, agency or company relationship is created. The partner is solely responsible for taxes, social security and their own invoicing.

2. Partner’s obligations

2.1 The partner recommends friends4life via their store link (?ref=) and/or discount code to their community — lawfully, truthfully and without misleading statements.

2.2 Prohibited, among other things, are spam, misleading statements about prices/services, misuse of third-party trademarks and purchases made to fraudulently obtain commission.

3. Attribution and commission

3.1 Attribution occurs first-touch via cookie/session (typically 30 days) and/or via the partner discount code. For the same club (tenant), the agreed attribution window then applies (default: 365 days).

3.2 The commission is, by default, 15 % of paid store revenue for attributed orders, unless individually agreed otherwise. Cancellations/refunds lead to forfeiture or reversal of the commission.

3.3 The commission ledger in the partner portal or admin is authoritative. Test/sandbox orders may appear for verification purposes.

4. Payout

4.1 Payouts are made manually after approval by the Provider to the details stored in the portal (SEPA IBAN or PayPal).

4.2 Payout schedule: Approved, open commissions are generally processed and remitted on the 1st of the month for the preceding billing period, provided a payable balance exists and complete payout details are on file. Delays for technical or review-related reasons are reserved.

4.3 The Provider may apply minimum amounts, reviews and set-offs against reclaims.

5. Discount codes and deactivation

5.1 The partner discount code is kept as close as possible to the ref code and assigned to the partner.

5.2 If the partner is paused, deactivated or deleted, linked discount codes are set inactive or the assignment is removed. Reactivation can restore the codes.

6. Term, termination

6.1 The Provider may pause or end participation at any time for good cause (in particular a breach of these terms). The partner may end participation at any time (notice to hello@kernflip.com).

6.2 Commissions already approved but not yet paid out are settled according to the payout rules, provided there is no misuse.

7. Liability, privacy

7.1 The Liability Disclaimer applies in addition, where applicable.

8. Final provisions

German law applies. Place of jurisdiction for merchants: registered seat of the Provider. Changes to these terms will be communicated to partners in a reasonable manner. Contact: hello@kernflip.com.
